Company Secretary

REPORTS TO
Board of Directors

DESCRIPTION
The Company Secretary will be responsible for:

  • Performing the duties and responsibilities of a Company Secretary as required by the Corporations Act (CA), the Australian Charities and Not-for-profits Commission (ACNC), the Australian Securities & Investments Commission (ACNS), the Foundation’s Constitution – as applicable – and any other relevant legislation or regulation.

 
Major functions will include:

  • Ensuring completion and lodgement of statutory forms/returns and reporting under the relevant legislation/regulation, including
  • Maintain registers (e.g. members, office bearers)
  • Maintaining statutory records
  • Ensuring that the Company complies with its statutory obligations under any relevant laws and regulations
    • Annual accounts
    • Annual return
    • Change in Directors, office bearers
  • Board meetings
    • Arrangement/co-ordination
    • Preparation of agenda
    • Compilation and circulation of papers to Directors prior to meetings
    • Taking minutes and distributing them in a timely manner after meetings
  • General meetings
    • Arranging AGM (and any other extraordinary general meetings)
    • Giving due notice
    • Preparation of agenda
    • Management of proxy votes
    • Taking minutes and distributing them in a timely manner after meetings
  • Assisting the Chairman and Directors in the conduct of meetings and their directorial and governance obligations and responsibilities
  • Other matters as reasonably required by Directors from time to time
